📜 Core Regulatory Rules & Requirements

✓Territorial Jurisdiction (USA Section 414): A state Administrator has jurisdiction whenever an offer originates from the state, is directed into the state (and received where directed), or is accepted in the state. Exceptions exist for bona fide newspapers with >2/3 circulation outside the state and radio/TV broadcasts originating outside the state.
✓Administrator Enforcement Powers: The Administrator can unilaterally investigate, issue subpoenas, and issue summary Cease-and-Desist orders without a prior court order, and can deny, suspend, or revoke registrations after notice and opportunity for hearing. However, only a COURT can issue an injunction, appoint a receiver, order restitution, or impose criminal prison/fines.
✓Civil Liability & Rescission (USA Section 410): Buyers may recover original principal + statutory interest + court costs + reasonable attorney's fees minus any income received. Statute of limitations is the earlier of 3 years from the violation or 2 years from discovery. A written rescission offer gives the client 30 calendar days to accept or forfeit civil suit rights.
✓Criminal Penalties (USA Section 409): Willful violation of the USA is a felony punishable by up to $5,000 fine and/or up to 3 years in prison per violation, with a 5-year statute of limitations.
✓NASAA Unethical Practices (Agents vs. IARs): Neither may guarantee against loss. Agents may share in a non-family customer account ONLY with prior written client and BD approval and strictly in proportion to capital contributed; IAs and IARs may NEVER share in a client account.
💡 High-Yield Exam Watchouts
  • •Remember the '5-3-5' Rule for USA Criminal Penalties: 5-year statute of limitations, 3 years max prison, $5,000 max fine.
  • •An Administrator can NEVER revoke or suspend a registration without providing prior notice, findings of fact/conclusions of law, and an opportunity for a hearing (though a summary postponement/suspension may be issued pending a hearing made available within 15 days).
