Broker-Dealer Retail De Minimis Threshold
0 Permanent Retail Clients (Unless Registered)
There is NO 5-client de minimis exemption for Broker-Dealers or Agents under the Uniform Securities Act.
Broker-Dealer vs. State IA Record Retention
Broker-Dealers = 3 Years | State Investment Advisers = 5 Years
Under NSMIA, states cannot enforce recordkeeping rules on BDs that exceed SEC Rule 17a-4 (3 years).

📜 Core Regulatory Rules & Requirements

✓Broker-Dealer Definition & Exclusions (USA Section 401(c)): Any person engaged in the business of effecting transactions in securities for the account of others or for its own account. Excludes: Agents, Issuers, Banks/Savings Institutions/Trust Companies, and out-of-state BDs with no place of business in the state that deal exclusively with institutional investors or existing customers temporarily vacationing in the state.
✓No Retail De Minimis Exemption for Broker-Dealers: Unlike Investment Advisers, Broker-Dealers do NOT have a 5-retail-client de minimis exemption. Having even ONE permanent retail resident client in a state requires the BD and Agent to register there.
✓When an Individual Representing an Issuer Is an Agent: An employee of an issuer is excluded from the 'Agent' definition ONLY when selling specific exempt securities (e.g., U.S. government/municipal bonds, commercial paper), effecting exempt transactions (e.g., private placements, institutional sales), or selling to employees without commission. Selling non-exempt public securities or earning a commission requires registration as an Agent.
✓Three-Party Agent Transfer Notification: When an agent leaves Broker-Dealer A to join Broker-Dealer B, ALL THREE parties (the agent, the old BD, and the new BD) must promptly notify the state Administrator.
💡 High-Yield Exam Watchouts
  • •Remember the 3-Party Rule for Agents vs. 1-Party Rule for IARs: When an Agent switches BDs, all 3 notify the Administrator; when an IAR switches state IAs, each IA notifies the Administrator.
  • •A successor broker-dealer or investment adviser formed through merger or reorganization may file an application for the unexpired portion of the calendar year with ZERO additional filing fee.
