Key Concepts & Regulatory Highlights

Covers the definition, registration, examination, and termination rules for Investment Adviser Representatives (IARs) under the Uniform Securities Act, including jurisdiction over IARs of federal covered advisers and dual registration disclosure requirements.

📐 Essential Calculation Formulas

Registration Effective Timeline
12:00 Noon on the 30th Calendar Day After Filing
All state registrations (BD, Agent, IA, IAR) expire annually on December 31 unless renewed.
State IAR De Minimis Rule (State-Registered IA)
No Place of Business + <= 5 Retail Clients in 12 Months
For IARs of Federal Covered Advisers, registration depends SOLELY on having a place of business in the state.

📜 Core Regulatory Rules & Requirements

✓IAR Definition (USA Section 401(g)): Any partner, officer, director, or employee of an IA who makes recommendations, manages portfolios, determines advice, solicits advisory services, or supervises employees who perform those duties. Purely clerical/ministerial personnel are excluded.
✓Registration of IARs of Federal Covered Advisers: Under NSMIA, an IAR employed by an SEC-registered federal covered adviser is only required to register in a state if the IAR maintains a physical place of business in that state (regardless of how many retail clients they serve in states where they have no office).
✓IAR Termination Notification Rule: For a state-registered IA, the EMPLOYING FIRM must notify the Administrator when an IAR terminates. For a federal covered IA, the INDIVIDUAL IAR is responsible for notifying the state Administrator.
✓Registration Effective & Expiration Dates: Registration becomes effective at 12:00 Noon on the 30th calendar day after filing (unless a denial order is pending) and expires annually on December 31.
💡 High-Yield Exam Watchouts
  • •Exam Watchout: Watch carefully whether the question asks about an IAR terminating from a STATE-registered adviser (IA notifies Administrator) vs. a FEDERAL COVERED adviser (IAR notifies Administrator)!
  • •Passing the exam alone does NOT confer active registration—an individual cannot transact business until notified that state registration is effective.
