Key Concepts & Regulatory Highlights

The largest Series 6 domain (50% of exam), covering open-end mutual funds, closed-end funds, unit investment trusts (UITs), mutual fund share classes (A, B, C), NAV/POP pricing, breakpoint discounts (LOI and ROA), 12b-1 fees, variable annuities, separate account subaccounts, AIR vs. actual return, and IRC Section 1035 tax-free exchanges.

📐 Essential Calculation Formulas

Public Offering Price (POP)
NAV / (1 - Sales Charge %)
Sales Charge % = (POP - NAV) / POP. Maximum sales charge is 8.5% under FINRA Rule 2341.
Net Asset Value (NAV) Per Share
(Total Fund Assets - Total Liabilities) / Shares Outstanding
Computed at least once every business day (typically 4:00 PM ET) under the Investment Company Act of 1940.

📜 Core Regulatory Rules & Requirements

✓Mutual Fund Pricing & Max Sales Load: Public Offering Price (POP) = NAV / (100% - Sales Charge %). FINRA Rule 2341 caps maximum front-end sales charges at 8.5% of POP.
✓Letter of Intent (LOI) vs. Rights of Accumulation (ROA): LOI runs for 13 months and may be backdated up to 90 calendar days (appreciation and reinvested dividends do not count). ROA aggregates existing holdings at the higher of current NAV or original cost with no time limit.
✓12b-1 Fees & No-Load Standard: Maximum 12b-1 fee is 0.75% distribution + 0.25% service = 1.00% annually. A mutual fund cannot be marketed as 'no-load' if its 12b-1 fee exceeds 0.25%.
✓FINRA Rule 2330 (Variable Annuities): Principal must review and approve/disapprove a recommended variable annuity application within 7 business days of an OSJ receiving a complete and correct application.
✓IRC Section 1035 Exchanges: Life-to-Life, Life-to-Annuity, and Annuity-to-Annuity exchanges are tax-free. An annuity can NEVER be exchanged tax-free back into a life insurance policy.
💡 High-Yield Exam Watchouts
  • •During variable annuity payout (annuitization), if the separate account net return exceeds the Assumed Interest Rate (AIR), the next monthly check increases; if it equals the AIR, the check stays flat; if it falls below the AIR, the check decreases.
  • •Selling mutual fund shares just below a breakpoint threshold to earn a higher sales commission is a prohibited violation known as 'breakpoint selling.'
